1. Acceptance of Terms

By accessing or using MuseNote ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

MuseNote is an AI-powered audio recording and note-taking application that provides:

  • Audio recording capabilities for capturing voice notes and conversations
  • AI-powered transcription services using advanced speech recognition technology
  • Intelligent content formatting with multiple style options
  • Cloud storage and synchronization of your notes
  • Various subscription plans with different feature sets and token allocations

3. User Accounts

To use MuseNote, you must create an account by providing a valid email address and creating a secure password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information is accurate and up-to-date

4. Subscription Plans and Billing

MuseNote offers various subscription plans:

  • Free Plan: Limited tokens for transcription and formatting
  • Pro Monthly: Monthly subscription with increased token allocation
  • Pro Yearly: Annual subscription with monthly token allocation for a year at a huge discount

Subscription terms:

  • Subscriptions automatically renew unless cancelled before the renewal date
  • Tokens refresh at the beginning of each billing cycle (monthly for Pro Monthly, every 30 days for Pro Yearly)
  • Unused tokens do not carry over to the next billing period
  • Pricing and token allocations are subject to change with notice
  • Refunds are handled according to the app store policies where you purchased the subscription

5. User Content and Rights

You retain all rights to the content you create, record, or upload to MuseNote. By using the Service, you grant us a limited license to:

  • Process your audio recordings for transcription
  • Apply AI formatting to your transcribed content
  • Store and backup your content on our secure servers
  • Display your content back to you through the Service

This license is solely for the purpose of providing the Service to you and does not grant us any rights to use your content for other purposes.

6. Prohibited Uses

You agree not to use MuseNote to:

  • Record conversations without the consent of all parties involved
  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for any illegal, harmful, or offensive purposes
  • Reverse engineer, decompile, or attempt to extract the source code of the Service

7. Privacy and Data Protection

Your use of MuseNote is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and content. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

MuseNote integrates with various third-party services for:

  • Audio transcription and speech recognition
  • AI-powered content formatting and processing
  • Secure data storage and authentication
  • Subscription and payment management
  • Analytics and performance monitoring

Your use of the Service may be subject to the terms and policies of these third-party providers.

9. Intellectual Property

The MuseNote name, logo, and all related designs, text, graphics, and other content are owned by us or our licensors and are protected by intellectual property laws. You may not use our intellectual property without our prior written consent.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

  • 100% accuracy of transcriptions or AI-generated content
  • Uninterrupted or error-free service
  • That the Service will meet all your requirements

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless MuseNote and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may cancel your account at any time through the app settings.

13. Dispute Resolution and Governing Law

If any dispute arises relating to these Terms or our Service, we encourage resolution through the following process: first, through informal negotiation by contacting our support team; if necessary, through mediation or binding arbitration in a mutually agreeable location, where legally permissible; and if arbitration is unavailable or unenforceable in your jurisdiction, through the competent courts in your location. These Terms shall be governed by the laws applicable in your jurisdiction of residence.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes through the app or via email. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.
